The regulatory provisions highlighted are of paramount importance in contexts where there are minority shareholders, who are undoubtedly very mindful of these obligations. Failure to comply with the 30-day deadline for communicating the draft financial statements to the board of statutory auditors and the independent auditors renders the shareholders’ meeting resolution approving the financial statements null and void. Failure to file the financial statements with the company’s registered office, or filing them late, may result in the shareholders’ meeting resolution being annulled. Finally, the approved financial statements must be filed with the Companies Register within 30 days of the resolution of approval. Failure to comply with the 30-day deadline will result in the Companies Register imposing an administrative fine ranging from €103.00 to €1,032.00 on each director and member of the board of statutory auditors, if appointed. THE FINANCIAL STATEMENTS AS A CALLING CARD In short, the process outlined above is often delegated to external consultants in small businesses, who do not always have all the necessary detailed information. For this reason, it is essential that the entrepreneur oversees the preparation of the financial statements; whilst they may delegate the technical aspects to third parties, they will be the first to interpret the picture that emerges from the figures in order to assess the company’s financial health. In this sense, the importance of the financial statements is emphasised, as they provide a summary of the company’s performance which must then be explained to third parties, primarily to lending banks, but also to leasing companies, suppliers and customers. A well-drafted and comprehensive set of financial statements also serves as a further tool for presenting the company. * Chartered Accountant, Auditor, Partner at REVIREVI Srl
