58 • verifica delle immobilizzazioni e conteggio degli ammortamenti; • valorizzazione delle rimanenze attraverso il costo medio ponderato, il costo specifico, il FIFO (First In, First Out) o il LIFO (Last In, First Out); • analisi dei crediti commerciali e valutazione dello stanziamento di un fondo svalutazione dei crediti. È utile acquisire dai legali della società un memorandum sulle eventuali azioni di recupero crediti; • accantonamenti ai fondi rischi e oneri per coprire passività probabili o perdite future di competenza dell’esercizio; • accantonamento al TFR e stanziamento dei ratei dipendenti per ferie, permessi e mensilità aggiuntive: attività solitamente svolta nella seconda metà di febbraio, quando i consulenti del lavoro dispongono dei dati necessari; • ratei e risconti attivi e passivi; • fatture da emettere e da ricevere. Una volta completati gli assestamenti, si determina il risultato d’esercizio; il bilancino di verifica viene condiviso con il consulente fiscale per la stima delle imposte di competenza (correnti, anticipate e differite) e la loro successiva registrazione. Solitamente ciò avviene nel mese di marzo. A questo punto si procede con la redazione del bilancio d’esercizio, composto da stato patrimoniale, conto economico, rendiconto finanziario (quando richiesto), nota integrativa e relazione sulla gestione. LA STRUTTURA FINALE DEL BILANCIO E LA SUA APPROVAZIONE Il progetto di bilancio viene approvato dal Consiglio di Amministrazione o sottoscritto dall’Amministratore Unico. Non esiste un termine di legge per l’approvazione del progetto di bilancio, ma solo per la convocazione dell’assemblea che, come previsto dal Codice civile, deve avvenire entro 120 giorni dalla chiusura dell’esercizio. L’assemblea deve quindi essere convocata entro il termine ultimo del 30 aprile di ogni anno (29 aprile in caso di anno bisestile). In particolari casi è ammesso l’utilizzo di un maggior termine per l’approvazione, anche se tempi troppo lunghi non sono valutati positivamente dalle istituzioni finanziarie. A questo punto il calendario di approvazione varia a seconda della presenza degli organi di controllo o meno. Infatti, nelle società non dotate di organi di controllo, si procede immediatamente al deposito dei documenti presso la sede sociale entro i 15 giorni precedenti la data di convocazione dell'assemblea dei soci, e pertanto il termine ultimo per l’approvazione da parte dell’organo gestorio del progetto di bilancio è il 14 aprile. Per le società dotate di organo di controllo (collegio sindacale o revisore legale), invece, il progetto approvato dagli amministratori deve essere messo a disposizione del collegio sindacale e dell'organo di revisione almeno 30 giorni prima dell'ap- • analysis of trade receivables and assessment of the provision for bad debts. It is useful to obtain a memorandum from the company’s legal advisors regarding any debt recovery actions; • provisions for risks and charges to cover probable liabilities or future losses attributable to the financial year; • provision for severance pay and allocation of accruals for employees’ holidays, leave and additional monthly payments: this is usually carried out in the second half of February, when employment consultants have the necessary data; • prepayments and accruals; • invoices to be issued and received. Once the adjustments have been completed, the profit or loss for the financial year is determined; the trial balance is shared with the tax adviser for the estimation of applicable taxes (current, prepaid and deferred) and their subsequent recording. This usually takes place in March. At this stage, the financial statements are prepared, comprising the balance sheet, income statement, cash flow statement (where required), notes to the financial statements and management report. THE FINAL STRUCTURE OF THE FINANCIAL STATEMENTS AND THEIR APPROVAL The draft financial statements are approved by the Board of Directors or signed by the Sole Director. There is no statutory deadline for the approval of the draft financial statements, but only for the convening of the general meeting which, as provided for in the Civil Code, must take place within 120 days of the end of the financial year. The general meeting must therefore be convened by the deadline of 30 April each year (29 April in the case of a leap year). In certain cases, a longer period for approval is permitted, although excessively long delays are not viewed favourably by financial institutions. At this stage, the approval timetable varies depending on whether or not the company has supervisory bodies. Indeed, in companies without supervisory bodies, the documents are filed immediately at the registered office within 15 days prior to the date of convening the shareholders’ meeting; consequently, the deadline for the management body to approve the draft financial statements is 14 April. For companies with a supervisory body (board of statutory auditors or statutory auditor), however, the draft financial statements approved by the directors must be made available to the board of statutory auditors and the statutory auditor at least 30 days before their approval by the general meeting.
