L’agevolazione consiste in un’esenzione fino a 500 euro al mese per ogni lavoratore assunto, che può salire a 650 euro mensili per giovani e donne residenti al Sud. Le aziende potranno beneficiare di questo incentivo per le assunzioni effettuate entro il 31 dicembre 2025. Inoltre, il Decreto Coesione prevede altre misure di sostegno per giovani e donne su tutto il territorio nazionale, estese anche alle attività di lavoro autonomo, imprenditoriale e libero-professionale. Anche per il settore ascensoristico, questa misura può rappresentare un’opportunità strategica. La necessità di tecnici qualificati è in costante crescita, e incentivi di questo tipo possono favorire l’accesso alla professione, sostenendo le aziende nella formazione e nell’inserimento di nuove risorse. Anacam è da sempre in prima linea nella formazione e nella ricerca di strumenti che facilitino l’incontro tra giovani e aziende associate. Tuttavia, affinché queste opportunità siano realmente efficaci, è essenziale che le imprese partecipino attivamente, non solo quando coinvolte per esigenze individuali ma con una visione più ampia di crescita collettiva e associativa. Solo con un impegno condiviso sarà possibile affrontare le sfide del futuro e garantire uno sviluppo sostenibile del settore. In questo contesto, la 54ª Assemblea Nazionale Anacam, che si terrà a Roma dal 12 al 14 giugno, sarà un appuntamento cruciale per il confronto e la pianificazione delle strategie future. Un evento particolarmente significativo anche perché elettivo. Only with a shared commitment will it be possible to meet the challenges of the future and ensure the sustainable development of the sector. In this context, the 54th Anacam National Assembly, which will be held in Rome from 12 to 14 June, will be a crucial appointment for discussion and planning of future strategies. It is also a particularly significant event because it is elective. 9 IL bilancio di esercizio viene visto da taluni come un mero obbligo burocratico ma rappresenta, altresì, uno strumento fondamentale per la gestione aziendale in quanto consente di monitorare l’andamento dell’attività, prendere decisioni informate e comunicare la situazione economica e finanziaria alle parti interessate come soci, investitori, finanziatori, creditori, autorità fiscali. Assolve, quindi, una funzione interna di programmazione e controllo ed una funzione esterna di comunicazione a terzi di informazioni sull’efficienza della gestione, l’operato degli amministratori e la solidità finanziaria della società. Il principio generale è chiarito dall’art. 2423 del Codice civile: il bilancio deve rappresentare la situazione patrimoniale e finanziaria della società con criteri di verità, correttezza e chiarezza. A partire dal 2028, l’obbligo di redazione e pubblicazione del bilancio annuale verrà esteso anche alle società di persone europee, come le S.n.c. (Società in Nome Collettivo) e le S.a.s. (Società in Accomandita Semplice), ai sensi della Direttiva UE 2025/25 sulla trasparenza nelle informazioni societarie delle aziende, pubblicata sulla Gazzetta Ufficiale dell’Unione Europea il 19 dicembre 2024. Le disposizioni entreranno in vigore il 31 luglio 2028, tuttavia i Paesi membri avranno tempo fino al 31 luglio 2027 per recepire la normativa e predisporre le regolamentazioni locali. Solo in Italia circa 700.000 società saranno coinvolte tra cui, come ben sappiamo, una percentuale importante delle PMI e microaziende del nostro settore. È un chiaro segnale che ci deve far comprendere come la conoscenza della reale situazione reddituale, finanziaria e patrimoniale di un’impresa prescinda dalle sue dimensioni. Dobbiamo conoscerci per decidere dove andare e come farlo. Soprattutto non dobbiamo mentire a noi stessi, addomesticando il bilancio per assecondare i nostri interessi perché potremmo ottenere l’effetto contrario nella misura in cui il bilancio è pubblico. Il primo livello di analisi delle banche alle quali chiediamo un finanziamento è incentrato proprio sugli indicatori di bilancio. Dall’interpolazione dei dati di alcune voci del conto economico e dello stato patrimoniale si calcolano indici, significativi al fine di valutare il merito creditizio, con un’analisi effettuata su un arco temporale di più annualità e raffrontato ai valori medi del settore di riferimento. Fra gli indici più importanti ricordiamo: • ROE (Return on Equity): misura la redditività dell’investimento effettuato dai soci in azienda; • ROS (Return on Sales): misura la redditività delle vendite (molto variabile da settore a settore); • ROI (Return on Investment); misura la redditività operativa dell’azienda in rapporto ai mezzi finanziari impiegati; • oneri finanziari su fatturato: è l’incidenza del costo dei finanziamenti in rapporto ai ricavi; THE balance sheet is seen by some as a mere bureaucratic obligation, but it is also a fundamental tool for business management as it allows us to monitor business performance, make informed decisions, and communicate the economic and financial situation to interested parties, such as shareholders, investors, lenders, creditors, and tax authorities. It therefore fulfils an internal function of planning and control, as well as an external function of communicating information to third parties on the efficiency of management, the work of the directors, and the financial soundness of the company. The general principle is clarified by Article 2423 of the Civil Code: the balance sheet must represent the company’s equity and financial situation with criteria of truth, fairness, and clarity. As of 2028, the obligation to prepare and publish annual balance sheets will also be extended to European partnerships, such as S.n.c. (‘Società in Nome Collettivo’ = copartnership) and S.a.s. (‘Società in Accomandita Semplice’ = limited partnership company), pursuant to EU Directive 2025/25 on transparency in company information, published in the Official Journal of the European Union on 19 December 2024. The provisions will enter into force on 31 July 2028, but member states will have until 31 July 2027 to transpose the legislation and prepare local regulations. In Italy alone, around 700,000 companies will be affected, including, as we know, a significant percentage of SMEs and micro-companies in our sector. This is a clear signal that must make us realise that knowledge of the real income, financial and asset situation of a company is independent of its size. We must know ourselves in order to decide where to go and how to go about it. Above all, we must not lie to ourselves, taming the balance sheet to pander to our own interests because we could achieve the opposite effect to the extent that the balance sheet is public. The first level of analysis of the banks to which we ask for financing focuses precisely on balance sheet indicators. From the interpolation of the data of certain items in the profit and loss account and balance sheet, indicators are calculated, which are significant for the purpose of assessing creditworthiness, with an analysis carried out over a period of several years and compared to the average values of the reference sector. Among the most important are: • ROE (Return on Equity): measures the profitability of the investment made by shareholders in the company; • ROS (Return on Sales): measures the profitability of sales (very variable from sector to sector); • ROI (Return on Investment); measures the operating profitability of the company in relation to the financial means employed; • financial charges on turnover: is the incidence of the cost of financing in relation to revenues; • financial independence: it identifies the equity strength of the company by comparing equity capital and

• indipendenza finanziaria: individua la solidità patrimoniale dell’azienda rapportando capitale proprio e attivo dello stato patrimoniale; • margini di struttura primario e secondario: rappresenta la capacità di coprire le immobilizzazioni, ovvero gli investimenti; • indici di disponibilità e liquidità: esprimono la capacità dell’azienda di far fronte agli impegni finanziari a breve, con o senza valutazione del magazzino. Questi indici vengono frequentemente valutati e confrontati da sistemi informatici in modo spesso totalmente asettico. L’analisi del bilancio, peraltro, non è più l’unico parametro valutato. L’attenzione alla trasparenza nella UE è direttamente collegata alla crescente cultura di valutazione e gestione del rischio in ambito creditizio. L’EBA (Autorità Bancaria Europea) stressa, nelle sue ultime linee guida, un approccio “forward looking cash flow oriented”, ovvero sprona le banche a porre maggiore attenzione alle prospettive future delle imprese e alla capacità di gestione e programmazione della liquidità a breve e a medio termine. Sarà sempre più importante dimostrare di saper pianificare e gestire i propri impegni. È comprensibile che la prospettiva possa spaventare il piccolo imprenditore che per questo motivo non può essere lasciato solo. Fondamentale è il supporto dei professionisti che devono seguire i propri assistiti contribuendo a creare la giusta consapevolezza, supportandoli non solo nella redazione dei documenti contabili e nel fascicolo di bilancio, ma anche nella corretta interpretazione dei dati e suggerendo percorsi virtuosi. Anche per questo è importante avvalerci di consulenti seri, preparati, ma soprattutto disponibili. These indicators are frequently evaluated and compared by computer systems in an often totally aseptic way. Balance sheet analysis, however, is no longer the only parameter evaluated. The focus on transparency in the EU is directly linked to the growing culture of risk assessment and risk management in the credit sector. The EBA (European Banking Authority) stresses, in its latest guidelines, a ‘forward looking cash flow oriented’ approach, i.e. it urges banks to pay more attention to the future prospects of companies and to their ability to manage and plan liquidity in the short and medium term. It will be increasingly important to show that they can plan and manage their commitments. It is understandable that the prospect may frighten the small entrepreneur, who for this reason cannot be left alone. Fundamental is the support of professionals who must follow their clients, helping to create the right awareness, supporting them not only in the preparation of accounting documents and the balance sheet file, but also in the correct interpretation of data and suggesting virtuous paths. This is also why it is important to avail ourselves of serious, well-prepared, and above all helpful consultants. 12 BILANCIO DI ESERCIZIO, biglietto da visita e strumento per ottimizzare la gestione aziendale CON il primo trimestre di ogni anno, per le società che chiudono il bilancio secondo il calendario solare, cioè il 31 dicembre, si pone il tema della preparazione del bilancio di esercizio e della determinazione delle relative imposte sul reddito. È un momento di consuntivazione dei risultati delle diverse gestioni e di valutazioni dei ritorni sugli investimenti fatti e sulle opportunità future. Vista l’attuale incertezza dei mercati, è fondamentale che le imprese controllino costantemente i dati, non solo in occasione del bilancio, e li comunichino in modo trasparente ai portatori di interesse dell’impresa (banche, fornitori, clienti, dipendenti), i cosiddetti “stakeholders”, per garantire la stabilità a lungo termine dell’azienda. CONTROLLO DELL’ANDAMENTO ECONOMICO E DEI FLUSSI DI CASSA La gestione aziendale deve essere orientata non solo alla verifica dell’andamento economico – che si misura attraverso indicatori come il fatturato, i margini di profitto, l’incidenza degli oneri finanziari – ma anche alla verifica dell’andamento dei flussi di cassa futuri, focalizzandosi sui dati finanziari. È fondamentale tenere sotto controllo i parametri chiave dell’andamento aziendale e il cash flow, ovvero la quantità di denaro che l’azienda incassa in un WITH the first quarter of each year, for companies that close their financial statements according to the solar calendar, i.e. on 31 December, comes the issue of preparing the annual financial statements and determining the relevant income taxes. CONTROL OF ECONOMIC PERFORMANCE AND CASH FLOWS The company’s management must be oriented not only towards checking the economic trend - which is measured by indicators such as turnover, profit margins, the incidence of financial charges - but also towards checking the trend of future cash flows, focusing on financial data. 13 UN CONTROLLO COSTANTE DEI DATI AIUTA A GARANTIRE SOSTENIBILITÀ, ACCESSO AL CREDITO E TRASPARENZA VERSO STAKEHOLDER COME BANCHE E FORNITORI Constant monitoring of data helps to ensure sustainability, access to credit and transparency towards stakeholders such as banks and suppliers determinato periodo rispetto alla quantità di denaro che spende, comprendere le dinamiche del flusso di cassa, in particolare i tempi di incasso e di pagamento, l’impatto dei nuovi investimenti e la sostenibilità dei debiti pregressi. BILANCIO E MONITORAGGIO Preparare il bilancio di esercizio significa avviare un percorso di monitoraggio aziendale che deve iniziare da elementi semplici, come ad esempio separare le aree di business rispetto a installazione nuovi impianti, manutenzioni ed altre attività. Cosa significa separare le aree di business? Semplicemente agire con una divisione del fatturato e traguardarlo su un arco temporale preciso. Quali impianti nuovi dovrò produrre nei prossimi 12 mesi? Quali commesse aperte devono essere completate? Quali sono le date dei rinnovi per le attività di manutenzione? È più conveniente pianificare i flussi di cassa mensilmente, trimestralmente o annualmente? Il tutto deve essere considerato anche in forza di un orizzonte prospettico, pertanto, ad esempio, mentre è in chiusura nel primo trimestre 2025 il bilancio al 31.12.2024, si preparano le stime dei fattori chiave per il 2025. È fondamentale utilizzare il bilancio in chiusura come “spalla” perfetta per i numeri preventivati per l’anno successivo. VALORIZZARE L’AZIENDA CON INFORMAZIONI AGGIUNTIVE Il bilancio e l’analisi periodica dei dati sono parte di uno stesso percorso ripetitivo di gestione dei numeri a cui è necessario aggiungere la predisposizione delle informazioni di dettaglio contenute nella nota integrativa o nella relazione sulla gestione del bilancio. Spesso professionalmente mi confronto con bilanci anonimi, che contengono tutte le informazioni previste dalle norme, ma non hanno alcuna attenzione nel presentare i fatti di gestione. Ovviamente dobbiamo considerare un equilibrio tra le informazioni sensibili e i dati pubblicabili, ma non ci sono limitazioni, ad esempio nelle premesse di bilancio, lar collection and payment times, the impact of new investments and the sustainability of past debts. BUDGETING AND MONITORING Preparing a balance sheet means starting a company monitoring process that must begin with simple elements, such as separating business areas from new plant installation, maintenance, and other activities. What does it mean to separate business areas? Simply acting with a division of turnover and tracking it over a specific time frame. Which new installations must I produce in the next 12 months? Which open orders are to be completed? What are the renewal dates for maintenance activities? Is it more convenient to plan cash flows monthly, quarterly or annually? This must also be considered on the basis of a forward-looking horizon, so, for example, while the balance sheet to 31.12.2024 is being closed in Q1 2025, estimates of key factors for 2025 are being prepared. It is essential to use the closing balance sheet as the perfect ‘shoulder’ for the numbers estimated for the following year. VALORISING THE COMPANY WITH ADDITIONAL INFORMATION The balance sheet and periodic data analysis are part of the same repetitive number-crunching process, to which one must add the preparation of the detailed information contained in the notes to the consolidated financial statements or the annual review. Often professionally, I am confronted with anonymous balance sheets, which contain all the information required by the regulations, but lack any attention to the presentation of management facts. Obviously, we have to consider a balance between sensitive and publishable information, but there are no limitations, for example in the introduction to the financial statements, in presenting the company, its activities and its areas of reference. Similarly, providing other information of a managerial nature makes it possible to obtain high added value, e.g. indications on investments made or to be made in the future, on the number of people dedicated to the activity divided

14 by departments (technical, commercial, administrative), or on the extension of areas or growth in the number of customers/assignments, or on new procedures adopted to achieve greater efficiency. The balance sheet for small and medium-sized companies is a business card, the only official instrument that is publicly disclosed and that allows one to understand the goodness of management or, in the case of critical situations, the efforts made and remedial actions taken. It is clear that if one limits oneself to a pure compilation of compulsory data without any comments, one is unlikely to have a better rating than other operators in the sector and more generally than other companies. Banks take the data of individual companies directly from organised databases that have various selection parameters. If these parameters are not adequately supported, the rating systems themselves consider these areas of analysis to be null and void, providing a figure that, in the absence of adequate support, will always be more conservative or negative, with possible consequences for the company. A non-positive rating means a higher cost of money, an inability or greater difficulty in accessing new financing, or more drastic demands for repayment or the like. Who is responsible for valuing the company through the balance sheet? There are three key figures in the preparation of the balance sheet: the entrepreneur, his administrative team and external advisors. Those who govern the company can provide the right input and descriptions to enrich the notes to the balance sheet, while the professionals can be active in requesting new data to be integrated in the notes and give the company more visibility for its management quality and achievements. Lastly, it should be emphasised that, once the balance sheet has been prepared, each number and/or index must be reviewed by the entrepreneur with the professional who prepared it in order to understand its meaning and the effects of third party interpretation, especially with reference to the banking world. PREVENTING CORPORATE CRISES The new Business Crisis and Insolvency Code (Codice della crisi d’impresa e dell’insolvenza) also emphasises the importance of early detection in order to prevent serious business crises and reorganisations, situations of instability, and/or insolvency. In order to meet this need, it is essential that the entrepreneur makes an ongoing assessment, based on the same key parameters summarised in the financial statements. Believing that this is necessary just because it is one of the practices provided for in the Crisis Code is a mistake. On the contrary, it represents a real opportunity for the entrepreneur. If a company has to apply for a bank loan or start a leasing contract in the middle of the year, how can it expect to obtain financial support without having up-to-date data? Constantly monitoring company performance is not only a regulatory obligation, but an essential tool for effective business management. nel presentare la società, le attività che svolge e i territori di riferimento. Allo stesso modo fornire altre informazioni di natura gestionale consentono di ottenere un alto valore aggiunto, ad esempio indicazioni sugli investimenti fatti o futuri, sul numero di persone dedicate all’attività divise per reparti (tecnici, commerciali, amministrativi), sull’estensione dei territori o sulla crescita del numero di clienti/incarichi, oppure su nuove procedure adottate per avere più efficienza. Il bilancio per le piccole e medie società è un biglietto da visita, l’unico strumento ufficiale che viene divulgato pubblicamente e che permette di comprendere la bontà della gestione oppure, in caso di situazioni critiche, gli sforzi fatti e le azioni di rimedio intraprese. È chiaro che se ci si limita ad una pura redazione dei dati obbligatori senza alcun commento, difficilmente si potrà avere un rating migliore rispetto ad altri operatori nel settore e più in generale rispetto ad altre imprese. Le banche prelevano i dati delle singole società direttamente da banche dati organizzate che hanno diversi parametri di selezione. Se questi parametri non sono adeguatamente supportati, i sistemi stessi di valutazione considerano nulle queste aree di analisi andando a fornire un dato che, in assenza di adeguati supporti, sarà sempre più prudente o negativo, con possibili conseguenze per la società. Un rating non positivo significa un maggior costo del denaro, l’impossibilità o la maggiore difficoltà nell’accedere a nuovi finanziamenti, oppure richieste più drastiche di rientro o simili. A chi spetta il compito di valorizzare l’azienda attraverso il bilancio? Tre sono le figure chiave nella redazione del rendiconto finanziario: l’imprenditore, il suo team amministrativo e i consulenti esterni. Chi governa la società può fornire i giusti input e le descrizioni necessarie per arricchire le note al bilancio, mentre i professionisti possono essere attivi nel richiedere nuovi dati da integrare nelle note e dare sempre più visibilità all’impresa per la sua qualità di gestione e i successi raggiunti. Da ultimo è opportuno sottolineare come, una volta preparato il bilancio, ogni numero e/o indice debba essere rivisto dall’imprenditore con il professionista che l’ha redatto per comprenderne il significato e gli effetti dell’interpretazione di terzi, soprattutto con riferimento al mondo bancario. PREVENIRE LE CRISI AZIENDALI Anche il nuovo Codice della crisi d’impresa e dell’insolvenza sottolinea l’importanza di una rilevazione tempestiva per prevenire gravi crisi e riorganizzazioni aziendali, situazioni di dissesto e/o insolvenza. Per rispondere a questa esigenza, è fondamentale che l’imprenditore effettui una valutazione continua, basata sugli stessi parametri chiave sintetizzati nel bilancio. Ritenere che ciò sia necessario solo perché è una delle prassi previste dal Codice della crisi è un errore. Al contrario, rappresenta una vera opportunità per l’imprenditore. 15 dere di ottenere il supporto finanziario senza disporre di dati aggiornati? Verificare costantemente l’andamento aziendale non è solo un obbligo normativo, ma uno strumento essenziale per la gestione efficace dell’impresa. UN SET DI PARAMETRI SEMPLICI E FACILMENTE RICAVABILI DAL BILANCIO Spesso il bilancio di esercizio in forma CEE (schema applicabile a tutte le società di capitale) è una fonte immediata di dati, perché ha una struttura fissa negli schemi numerici e consente la comparabilità dell’esercizio in chiusura verso l’esercizio precedente. Ci sono parametri economici molto semplici da identificare come il totale dei ricavi (fatturato, voce A1 di conto economico) che deve essere parametrato al margine EBITDA (ERANINGS BEFORE INTEREST TAX DEPRECIATION AMORTIZATION), cioè il margine operativo lordo, risultante dal rapporto: valore della produzione (A) - costi della produzione (B) + ammortamenti e svalutazioni (sezione B10 del conto economico). Il rapporto tra il margine ed i ricavi in percentuale, cioè EBITDA Margin, ci indica qual è la percentuale di profitto operativo prima della gestione degli investimenti, finanziaria e fiscale. Questo significa misurare la propria capacità di gestione a livello operativo senA SET OF SIMPLE AND EASILY OBTAINABLE PARAMETERS FROM THE BALANCE SHEET Often, the annual financial statements in CEE form (scheme applicable to all corporations) are an immediate source of data, because they have a fixed structure in the numerical schemes and allow comparability of the closing financial year to the previous year. There are very simple economic parameters to be identified such as total revenues (turnover, item A1 of the profit and loss account), which must be compared to the EBITDA margin (ERANINGS BEFORE INTEREST TAX DEPRECIATION), i.e. the gross operating margin, resulting from the ratio: production value (A) - production costs (B) + depreciation and amortisation (section B10 of the profit and loss account). The ratio of margin to revenue as a percentage, i.e. EBITDA Margin, tells us what the percentage of operating profit is before investment, both financial and fiscal. This is a measure of one’s ability to manage at the operational level without the distorting effects of other management. The figure is comparable with the company’s own historical series but also with its direct competitors or the best companies in the sector. This first element is fundamental because if a company is profitable it means that it will have positive cash flows for investments or to repay its debts. It is clear that if we have a low value

16 of 1%, we will hardly cover the cost of money, especially in this period of rising interest rates, or the value of depreciation, which has regained continuity, compared to the emergency suspension of the Covid rules. We have found a good parameter from the point of view of measuring economic performance, but patrimonially how do we measure the sustainability of our company, i.e. its ability to last? Let’s talk about debts: but what are the debts on which to have a constant focus? These are financial debts, which are measured as bank debts and debts to other lenders (all excluding shareholders) net of cash and cash equivalents, plus debts that accrue interest or those over 12 months such as severance pay. This sum, defined as the net financial position (NFP), is divided by the EBITDA value for the year. The NFP/EBITDA parameter tells us how many times operating profits must be used to repay net financial debts. It is clear that parameters greater than 4 times can indicate a critical threshold, as it potentially means that a company will take more than 4 years to repay its debts, without considering market or product/service uncertainty effects that could raise this parameter. Lastly, the DSCR (DEBT SERVICE COVER RATIO), which is nothing more than a simplified measurement of repayment capacity. From the annual balance sheet to the net profit we add the value of depreciation and amortisation, which are technically non-cash costs. This value represents the ability to generate available cash flow, obviously in a context where receivables are collected and turnover does not turn into bad debts. This flow parameter has to be compared with the total instalments for the year of the loans that have to be repaid. If the flow is higher than the capital instalments that must be repaid, it means that the company generates an adequate amount of cash and is profitable, while if the flow is lower, it means that there is a potential crisis situation in which the directors and shareholders must be ready to intervene, in order to sustain the company’s long-term financial equilibrium. With these three simple parameters, we have a quick financial check-up that should not only be carried out when preparing the balance sheet, but also during the year to prevent distress phenomena that, if not caught in time, can generate serious damage to the company itself. * Chartered accountant, auditor, contracted university lecturer za effetti distorsivi di altre gestioni. Questo primo elemento è fondamentale perchè se una società è profittevole significa che avrà flussi di cassa positivi per investimenti oppure per rimborsare i propri debiti. È chiaro che se abbiamo un valore risicato dell’1% difficilmente copriremo il costo del denaro, soprattutto in questo periodo di interessi crescenti, oppure il valore degli ammortamenti, che hanno ripreso continuità, rispetto alle sospensioni emergenziali delle norme Covid. Abbiamo trovato un buon parametro dal punto di vista di misurazione dei risultati economici, ma patrimonialmente come misuriamo la sostenibilità della nostra impresa, ovvero la capacità di durare nel tempo? Parliamo appunto di debiti: ma quali sono i debiti su cui avere un focus costante? Sono i debiti finanziari che si misurano come debiti bancari e verso altri soggetti finanziatori (tutti esclusi i soci) al netto delle disponibilità liquide e sommati i debiti che maturano interessi oppure quelli superiori ai 12 mesi come il trattamento di fine rapporto. Questa somma, definita come posizione finanziaria netta (PFN), è divisa dal valore di EBITDA di esercizio. Il parametro PFN/EBITDA ci comunica quanto volte i profitti operativi devono essere impiegati per ripagare i debiti finanziari netti. È chiaro che parametri superiori a 4 volte possono indicare una soglia critica, in quanto potenzialmente significa che una società impiegherà oltre 4 anni per ripagare i propri debiti, senza considerare effetti di incertezze di mercato o di prodotto/servizio che potrebbero alzare tale parametro. Da ultimo il DSCR (DEBT SERVICE COVER RATIO), che non è altro che la misurazione di una capacità di rimborso in via semplificata. Dal bilancio di esercizio all’utile netto sommiamo il valore degli ammortamenti e svalutazioni che tecnicamente sono costi non monetari. Tale valore rappresenta la capacità di generare flussi di cassa disponibili, ovviamente in un contesto in cui i crediti vengono incassati ed il fatturato non si trasforma in incagli. Questo parametro di flusso deve essere confrontato con le rate totali dell’anno dei finanziamenti che devono essere rimborsate. Se il flusso è superiore alle rate di capitale che devono essere rimborsate, significa che la società genera una quantità adeguata di cassa ed è profittevole, mentre qualora il flusso fosse inferiore significa avere una situazione di potenziale crisi in cui gli amministratori e i soci devono essere pronti ad intervenire, per sostenere l’equilibrio finanziario di lungo termine della società. Si può stimare come quel povero nuovo impianto venduto, poi passato al servizio manutentivo, assorba gli utili di circa sette anni di manutenzione per ripagare l’investimento iniziale (perdita) e cominci a generare profitto solo dall’ottavo anno in poi. L’unica strada praticabile per le piccole e medie aziende resta la nicchia degli impianti fuori standard, dove la capacità tecnica, la flessibilità e la professionalità risultano vincenti rispetto ai grandi competitori. In questa nicchia, però, non si realizzano grandi volumi e di conseguenza la crescita dell’azienda per linee interne (vendo, installo, passo in manutenzione e cresco) è diminuita di molto. Questa situazione (variamente distribuita regionalmente) è stata congelata dall’effetto dei vari bonus governativi che hanno riacceso il mercato sia sul versante domanda che sul versante prezzi (ma anche costi dei prodotti). Alla scadenza (fine 2025), come si assesterà il mercato? Ritornerà al livello sopra indicato o saprà mantenere le posizioni acquisite? Cosa può fare allora l’azienda per continuare a crescere? Può scegliere di seguire le linee esterne, rivolgendosi al mercato e cercando di acquisire nuovi contratti per impianti in manutenzione. Ma cosa significa far crescere un’azienda di manutenzione? Significa innanzitutto valutarne la capacità produttiva, definire quali margini di crescita possa avere e aumentare l’organico tecnico. Trovare manodopera qualificata, d’altro canto, è un’operazione complessa e formare giovani tecnici richiede tempo e risorse, rendendo quest’operazione non immediata. La prova del nove di queste riflessioni sta nel comportamento delle grandi società (multinazionali) che acquisiscono attività operative ottenendo tutti i vantaggi della crescita senza le complessità legate alla ricerca e alla formazione del personale tecnico. Queste grandi società dispongono di “infinite” risorse economiche (vedi l’importanza della cassa) e grandi spazi di recupero fiscale (vedi l’importanza dell’utile), situazione non sempre replicabile per il resto degli operatori del settore. Cosa fare per permettere anche agli altri operatori di accedere a simili operazioni? È necessario disporre della liquidità necessaria e convincere il mercato che non solo i grandi attori possono effettuare acquisizioni; anche le piccole e medie aziende possono avere le capacità tecniche, economiche e gestionali per finalizzarle. “L’utile è un’opinione, la cassa è un fatto”, oltre ad essere un’espressione condivisibile, è il titolo di un libro che evidenzia come la liquidità non sia il semplice saldo bancario ma l’insieme dei flussi di cassa che devono essere governati dalla direzione aziendale. Nella Direttiva 2011/7/UE relativa alla lotta contro i ritardi di pagamento nelle transazioni commerciali, è indicato che le imprese devono pagare le fatture entro un massimo di 60 giorni. In Italia, secondo una statistica ricavata dai dati di bilancio presentati nel 2023 dalle principali società di manutenzione, il periodo medio di pagamento delle fatture emesse è stato di 175 giorni, contro una media di circa 90 giorni per il pagamento delle fatture ricevute. In this niche, however, large volumes are not realised and consequently the company’s growth by internal lines (I sell, I install, I maintain and I grow as a company) is much reduced. This situation (variously distributed regionally) has been frozen by the effect of the various government bonuses that have rekindled the market both on the demand side and on the price side (but also product costs). When it expires (end of 2025), how will the market settle? Will it return to the level indicated above or will it be able to maintain its positions? What can the company do then to continue growing? It can choose to follow external lines, turning to the market and trying to acquire new contracts for plants under maintenance. But what does it mean to grow a maintenance company? It means first of all assessing its production capacity, defining what growth margins it may have and increasing its technical staff. Finding qualified labour, on the other hand, is a complex operation, and training young technicians requires time and resources, making this operation not immediate. The litmus test of these considerations lies in the behaviour of large (multinational) corporations that acquire operational activities and gain all the advantages of growth without the complexities of finding and training technical personnel. These large corporations have ‘infinite’ economic resources (see the importance of cash) and great scope for tax recovery (see the importance of profit), a situation that is not always replicable for the rest of the operators in the sector. What can be done to enable other players to access such transactions as well? It is necessary to have the necessary liquidity, and to convince the market that not only big players can make acquisitions; small and mediumsized companies can also have the technical, economic, and managerial capabilities to finalise them. ‘Profit is an opinion, cash is a fact’, besides being a supportable expression, is the title of a book that highlights how liquidity is not simply the bank balance, but the set of cash flows that must be governed by company management. In Directive 2011/7/EU on combating late payment in commercial transactions, it is stated that companies must pay invoices within a maximum of 60 days. Utopia? Forse, ma come diceva Adriano Olivetti “Il termine utopia è la maniera più comoda per liquidare quello che non si ha voglia, capacità o coraggio di fare”. La vera domanda è se un’azienda che punta alla crescita può permettersi di selezionare i possibili clienti anche in base alla modalità di pagamento. Probabilmente la risposta sta nelle riflessioni della Commissione incaricata di aggiornare la norma europea sopra indicata: “Tra le cause principali dei ritardi di pagamento vi sono le asimmetrie nel potere contrattuale tra un cliente grande o più potente (debitore) e un fornitore più piccolo (creditore).
